A $12.9 billion deal for the "GitHub of AI"

Hugging Face hosts over 3 million models, 1 million applications, and 500,000 datasets, used by more than 18 million developers. Nvidia itself has contributed over 500 models and 250 open datasets to the platform. Under the deal, Nvidia will pay approximately $11.9 billion to Hugging Face shareholders and $1 billion in equity to retain employees, with closing expected in the first half of next year.

Hugging Face was founded in 2016 and has raised over $395 million, with its last valuation at $4.5 billion in 2023. The company reported around $150 million in annualized revenue and was nearing profitability, according to its CEO. The purchase price of roughly 86 times revenue signals Nvidia's strategic conviction over near-term financial return.

Nvidia's bet on open-weight AI as the default platform

This acquisition is a clear bet on open-weight and open-source AI as the dominant paradigm. Nvidia CEO Jensen Huang has been a vocal advocate, rallying over 80 companies to sign an open letter defending open-weight models and launching the SAFE initiative for AI incident reporting. The move also positions Nvidia to monetize unused compute capacity by packaging it with Hugging Face offerings, especially as hyperscalers like Amazon, Google, and Meta pursue their own custom chips.
